Terms of Use

Effective date: August 5, 2026

These Terms of Use govern access to and use of RFBE ERP, a private internal business application owned and operated by Rose Farm & Bloom.

RFBE ERP is not offered for public subscription, resale, sublicensing, or general public use.

1. Acceptance of Terms

By accessing or using RFBE ERP, the authorized user agrees to these Terms of Use.

If the authorized user does not agree with these terms, the application should not be accessed or used.

2. Authorized Use

RFBE ERP may be used only for authorized Rose Farm & Bloom business activities, including:

  • purchasing and vendor management;

  • inventory and SKU management;

  • fabric and production operations;

  • sales and fulfillment;

  • shipment tracking and receiving;

  • gardening and produce operations;

  • candle and home-fragrance operations;

  • accounting integration;

  • product-photo enhancement and generation;

  • business reporting and administration.

Access is limited to authorized users approved by Rose Farm & Bloom.

3. Account Security

Authorized users are responsible for:

  • protecting their login credentials;

  • preventing unauthorized access to the application;

  • maintaining the security of the computer and network used to access RFBE ERP;

  • promptly reporting suspected unauthorized access or security incidents.

Login credentials must not be shared with unauthorized persons.

4. QuickBooks Online Integration

RFBE ERP may connect to QuickBooks Online after authorization by the QuickBooks company administrator.

The integration may be used to:

  • retrieve company and chart-of-accounts information;

  • support account mapping;

  • create approved accounting transactions;

  • record QuickBooks transaction identifiers;

  • support reconciliation, audit, duplicate-prevention, and reversal workflows.

RFBE ERP does not request or store a user’s QuickBooks password. Authorization is completed through Intuit’s OAuth process.

The authorized user is responsible for reviewing account mappings and approving any accounting transaction before posting it to QuickBooks.

5. Third-Party Services

RFBE ERP may connect with third-party services, including QuickBooks Online, Etsy, OpenAI, Cloudflare, and other approved business platforms.

Use of those services is also governed by the terms and policies of the applicable provider.

Rose Farm & Bloom is not responsible for third-party service outages, changes, suspension, data availability, pricing, or functionality outside Rose Farm & Bloom’s control.

6. Ownership

RFBE ERP, including its application design, workflows, source code, database structure, documentation, branding, and related materials, is owned by Rose Farm & Bloom or used under applicable license.

No ownership rights are transferred through access to or use of the application.

7. Restrictions

The authorized user may not:

  • copy, sell, sublicense, rent, distribute, or commercially exploit RFBE ERP;

  • provide access to unauthorized third parties;

  • attempt to bypass authentication, approvals, security controls, audit controls, or duplicate-prevention controls;

  • access or use the application for unlawful, fraudulent, or harmful purposes;

  • introduce malicious software or interfere with the application’s operation;

  • reverse engineer or modify the application except as authorized by Rose Farm & Bloom;

  • use QuickBooks or other third-party data for unrelated advertising, resale, profiling, or unauthorized purposes.

8. Business Records and User Responsibility

RFBE ERP supports business operations but does not replace professional accounting, tax, legal, safety, or financial advice.

The authorized user remains responsible for:

  • reviewing business records for accuracy;

  • approving financial transactions;

  • maintaining appropriate records;

  • verifying inventory, shipment, production, and accounting information;

  • complying with applicable laws, tax obligations, marketplace rules, and accounting requirements.

9. Data and Privacy

Use of information through RFBE ERP is governed by the Rose Farm & Bloom Privacy Policy.

The Privacy Policy explains how information is accessed, used, stored, protected, retained, shared, and deleted.

10. Availability and Changes

Rose Farm & Bloom may update, suspend, limit, or discontinue RFBE ERP or any feature when reasonably necessary for:

  • maintenance;

  • security;

  • legal compliance;

  • integration changes;

  • technical improvements;

  • business-operational needs.

Reasonable efforts will be made to preserve legitimate business data and maintain appropriate backups.

11. Disclaimer of Warranties

RFBE ERP is provided for authorized internal business use on an “as available” basis.

To the extent permitted by law, Rose Farm & Bloom does not guarantee that the application will always be uninterrupted, error-free, compatible with every third-party service, or free from all defects.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

12. Limitation of Liability

To the extent permitted by applicable law, Rose Farm & Bloom will not be liable for indirect, incidental, special, consequential, or punitive damages arising from:

  • unauthorized access;

  • third-party service failures;

  • internet or computer outages;

  • incorrect data entered or approved by the user;

  • failure to maintain backups;

  • decisions made from inaccurate or incomplete records.

This limitation does not apply where liability cannot legally be limited.

13. Suspension or Termination

Access may be suspended or terminated when:

  • authorization is withdrawn;

  • security is compromised;

  • these Terms are violated;

  • the application is no longer required;

  • continued access creates legal, security, or operational risk.

QuickBooks access may also be revoked through the connected-app settings in QuickBooks Online.

14. Governing Law

These Terms are governed by the laws applicable to Rose Farm & Bloom’s principal place of business, without regard to conflict-of-law principles.

15. Changes to These Terms

These Terms may be updated when RFBE ERP functionality, legal requirements, security practices, or business operations change.

The effective date at the top of this page will be updated when material changes are made.
